Reaseguros: Normas para Contratación y Gestión

La Resolución de la Superintendencia de Banca, Seguros y Administradoras Privadas de Fondos de Pensiones (SBS) Nº 2.982 del 25 de marzo de 2010 determinó las normas para la contratación y gestión de seguros. A partir de la mencionada resolución las empresas de seguros y de reaseguros establecidas en el país deberán regirse bajo la siguiente normativa:

3. Contratos de Reaseguros

Las empresas deberán contar con los contratos de reaseguros suscritos, en cada periodo, por los reaseguradores participantes. Dichos contratos podrán adoptar las condiciones, formas y métodos generalmente aceptados en la práctica internacional; sin embargo, deberán contener como mínimo: un costo razonable, un riesgo no determinado de pérdida que deberá ser asumido por el reasegurador y un plazo de reembolso de tales pérdidas. Lo convenido entre las partes de tales contratos no modifica las obligaciones que, con respecto al contratante o tomador, asegurado, beneficiario o tercero damnificado, tiene el asegurador directo en función de lo establecido en la Ley General y en el contrato de seguro.

Los contratos de reaseguro que impliquen una disminución significativa de activos y pasivos ya constituidos en los estados financieros, deben ponerse en conocimiento de la Superintendencia antes de su aplicación, debiendo mantener el activo y el pasivo sin afectar, hasta que reciban la no objeción del ente supervisor. Se entenderá como disminución significativa aquella situación que se produciría al aplicar un nuevo contrato de reaseguro que permita liberar reservas de siniestros retenidos y las inversiones que lo respaldan en un porcentaje superior al diez por ciento (10%).

Durante el proceso de negociación o de renovación de los contratos de reaseguros, en los casos de contratación directa, y en tanto dicho proceso culmine, las empresas deberán contar con una cobertura provisional o extensión de cobertura, por los treinta (30) días siguientes a la fecha de término de la vigencia anterior. En los casos de contratación a través de corredores de reaseguros, las empresas deberán contar con la conformidad de dichos corredores por el cien por ciento (100%) de la colocación, dentro de los treinta (30) días siguientes a la fecha de término de la vigencia anterior.

Las notas de cobertura suscritas por los corredores de reaseguros podrán ser consideradas sustento de contratos de reaseguros, si contienen las cláusulas más importantes del contrato y están suscritas, por lo menos, por el reasegurador líder. Respecto a los demás reaseguradores participantes, las empresas, deberán contar con el documento que pruebe la confirmación de su aceptación en cada caso, a través de algún medio sujeto de ser impreso. De lo contrario, la nota de cobertura no sustituirá la obligatoriedad de contar con los contratos suscritos.

La Superintendencia podrá solicitar a las empresas que presenten copia de los contratos de reaseguros suscritos.

4. Término o Resolución del Contrato de Reaseguros

Las empresas, bajo responsabilidad de su gerente general, deberán comunicar a esta Superintendencia el término o resolución de los contratos de reaseguros, que dentro de los treinta (30) días calendario posteriores al término de la vigencia (o al término de la cobertura provisional), no hubieran sido reemplazados por otros contratos de reaseguros, informando el motivo del retraso y los ajustes efectuados en el pasivo y el estado de ganancias y pérdidas por el incremento de sus reservas.

Las renovaciones o suscripción de nuevos contratos efectuadas durante el primer semestre del año, que contengan modificaciones de las condiciones de cesión, límites de cobertura y estructura de los contratos anteriores, se deberán informar mediante los anexos ES-18B1, ES-18C1, ES-18D1 de la presente resolución, indicando las características de los contratos que se encuentren vigentes al 1º de julio de cada año, debiendo remitirse los mencionados anexos a más tardar al 30 de julio de cada año. En caso, se hubieran incrementado los límites de retención de los contratos informados en los anexos indicados, deberá adjuntarse copia de los contratos suscritos por los reaseguradores correspondientes.

5. Coaseguro

Los contratos de coaseguro entre empresas del país deben contar con la autorización de los asegurados y ser suscritos por las empresas participantes en él. Los contratos suscritos entre empresas de seguros locales para distribuir el riesgo asegurado entre ellas, sin contar con el consentimiento de sus asegurados constituyen reaseguros locales, sujetos a todas las disposiciones aplicables a los mismos, emitidas por la Superintendencia, tales como aquellas referidas a las formalidades para su contratación, el tratamiento contable y la información contable y estadística que debe presentarse a la Superintendencia, entre otros aspectos.

6. Sistema Interno de Reaseguro

Las empresas que al amparo de lo dispuesto por el artículo 319° de la Ley General decidan asociarse para formar empresas de reaseguros, deberán cumplir las disposiciones correspondientes del reglamento para la constitución y el establecimiento de empresas y representantes de los Sistemas Financiero y de Seguros aprobado por Resolución SBS N° 10440-2008 del 16 de octubre de 2008 y sus modificatorias.

7. Práctica Insegura

Las empresas deberán considerar como práctica insegura a aquella contratación con reaseguradores en forma distinta a las señaladas en el numeral 2 de la presente norma.

A efecto de medir la práctica insegura, deberán sumarse los importes que provengan de los siguientes conceptos:

a) La sumatoria de las primas cedidas en un ejercicio, correspondiente a los contratos suscritos con reaseguradores vulnerables en la fecha en que se efectúe el reporte, independientemente de la vigencia del contrato.

b) La sumatoria de las primas cedidas reportadas con código 90000.

c) El costo o la prima mínima de los contratos que no cumplan las disposiciones del numeral 3.

d) El total de primas cedidas a reaseguradores cuya clasificación vigente varió a rangos considerados como vulnerables.

e) El total de primas cedidas a aquellos reaseguradores considerados vulnerables por la Superintendencia de conformidad con el último párrafo del numeral 2 de la presente norma.

Las empresas que incurran en práctica insegura deberán incrementar sus obligaciones técnicas por el monto de las primas cedidas acumuladas al cierre del trimestre correspondiente, salvo justificaciones debidamente documentadas. En caso que, por la incorporación de las primas cedidas en práctica insegura dentro de las obligaciones técnicas, las empresas incurran en déficit de inversiones, estarán sujetas a lo dispuesto en el artículo 316° de la Ley General.

8. Retención Máxima

La retención por riesgo no podrá exceder el cinco por ciento (5%) del patrimonio efectivo para ramos Generales. Para tales efectos, se entiende por riesgo al objeto asegurado en cada póliza de seguros. El límite indicado no es aplicable a los ramos de Accidentes y Enfermedades, Automóviles y Terremoto.

La Superintendencia evaluará la suficiencia de reservas técnicas por primas cuando la cartera asegurada no responda al principio de homogeneidad y por tanto la siniestralidad esperada pueda afectar su patrimonio efectivo para ramos Generales. En tales casos, este organismo de control requerirá sustentar las retenciones con un estudio, debidamente suscrito por el gerente o funcionario responsable de la elaboración de las Notas Técnicas, informado a la Superintendencia a través el software “Registro de Directores, Gerentes y Principales Funcionarios” REDIR.

 

Reinsurance: Rules for Contracting and Management

The Resolution of the Superintendency of Banking, Insurance and Private Pension Fund Administrators (SBS) No. 2982 of March 25, 2010 determined the rules for the contracting and management of insurance. As of the aforementioned resolution, the insurance and reinsurance companies established in the country must be governed by the following regulations:

3. Reinsurance Treaties

Companies must have reinsurance subscribed treaties, in each period, by participating reinsurers. Such treaties may adopt the conditions, forms and methods generally accepted in international practice; however, they must contain at least: a reasonable cost, an undetermined risk of loss that must be assumed by the reinsurer and a repayment period for such losses. The agreement between the parties of such contracts does not modify the obligations that, with respect to the contractor or policyholder, insured, beneficiary or third party affected, the direct insurer has in terms of the provisions of the General Law and the insurance contract.

The reinsurance treaties that imply a significant reduction of assets and liabilities already constituted in the financial statements, must be brought to the attention of the Superintendency before its application, and must maintain the assets and liabilities without affecting them, until they receive the non-objection of the entity supervisor. It will be understood as a significant decrease the situation that would occur when applying a new reinsurance treaty that allows to free reserves of retained losses and the investments that support it in a percentage higher than ten percent (10%).

During the process of negotiation or renewal of reinsurance treaties, in cases of direct contracting, and as long as this process ends, the companies must have provisional coverage or extension of coverage, for thirty (30) days following the date of termination of the previous term. In the cases of hiring through reinsurance brokers, the companies must have the compliance of said brokers for one hundred percent (100%) of the placement, within thirty (30) days following the date of termination of the previous validity.

The cover notes subscribed by the reinsurance brokers may be considered as support for reinsurance treaties, if they contain the most important clauses of the contract and are subscribed, at least, by the leading reinsurer. With respect to the other participating reinsurers, the companies must have the printed document that proves the confirmation of their acceptance in each case. Otherwise, the cover note will not replace the obligation to have the treaties subscribed.

The Superintendency may request companies to present a copy of the subscribed reinsurance treaties.

4. Termination or Resolution of the Reinsurance Treaty

The companies, under the responsibility of their general manager, must notify the Superintendency of the term or resolution of the reinsurance treaties, which within thirty (30) calendar days after the end of the term (or at the end of the provisional coverage), they would not have been replaced by other reinsurance treaties, informing the reason for the delay and the adjustments made to the liability and the statement of the gains and losses due to the increase in their reserves.

The renewals or subscription of new contracts made during the first semester of the year, which contain modifications of the transfer conditions, coverage limits and structure of the previous contracts, must be reported through the annexes ES-18B1, ES-18C1, ES- 18D1 of this resolution, indicating the characteristics of the contracts that are in force as of July 1 of each year, the aforementioned annexes must be sent no later than July 30 of each year. In case the retention limits of the treaties reported in the aforementioned annexes have been increased, a copy of the treties signed by the corresponding reinsurers must be attached.

5. Coinsurance

Coinsurance treaties between companies in the country must have the authorization of the insured and be subscribed by the participating companies. Treaties signed between local insurance companies to distribute the insured risk between them, without the consent of their insured, constitute local reinsurance, subject to all the provisions applicable to them, issued by the Superintendency, such as those referring to formalities for contracting, the accounting treatment and the accounting and statistical information that must be presented to the Superintendency, among other aspects.

6. Internal Reinsurance System

Companies that under the provisions of Article 319 of the General Law decide to associate to form reinsurance companies, must comply with the corresponding provisions of the regulations for the constitution and establishment of companies and representatives of the financial and insurance systems approved by SBS Resolution No. 10440-2008 of October 16, 2008 and its amendments.

7. Insecure Practice

Companies must consider as an unsafe practice that contracting with reinsurers made in a manner different from those indicated in section 2 of this standard.

In order to measure the unsafe practice, the amounts that come from the following concepts must be added:

a) The sum of the premiums ceded in one year, corresponding to the treaties subscribed with vulnerable reinsurers on the date on which the report is made, regardless of the validity of the contract.

b) The sum of the ceded premiums reported with code 90000.

c) The cost or minimum premium of contracts that do not comply with the provisions of numeral 3.

d) The total of premiums ceded to reinsurers whose current classification varied to ranges considered as vulnerable.

e) The total of premiums ceded to those reinsurers considered vulnerable by the Superintendency in accordance with the last paragraph of numeral 2 of this standard.

Companies that engage in unsafe practices must increase their technical obligations by the amount of the ceded premiums accumulated at the end of the corresponding quarter, unless duly documented justifications. In the event that, due to the incorporation of the premiums transferred by an insecure practice within the technical obligations, the companies incur in deficit of investments, they will be subject to the provisions of article 316 of the General Law.

8. Maximum Retention

The retention for risk may not exceed five percent (5%) of the effective equity for General branches. For such purposes, risk is understood to be the object insured in each insurance policy. The indicated limit is not applicable to the Accident and Disease, Automobile and Earthquake branches.

The Superintendency will evaluate the adequacy of technical reserves for premiums when the insured portfolio does not respond to the principle of homogeneity and therefore the expected loss may affect its effective equity for General lines. In such cases, this control body will need to sustain the withholdings with a study, duly signed by the manager or official responsible for the preparation of the Technical Notes, informed to the Superintendence through the software "Registry of Directors, Managers and Main Officers" REDIR.
