Ente regulador brasileño pondrá fin a inspección especial de IRB Brasil Re

El Consejo de Administración de la SUSEP, el regulador brasileño de seguros, decidió por unanimidad dar por terminada la inspección especial de IRB Brasil Re iniciada en mayo del año pasado, anunció la reaseguradora. A fines de mayo de 2020 surgieron informes de que la reaseguradora brasileña iba a ser investigada por la SUSEP por preocupaciones de que carecía de reservas suficientes, luego de que la compañía restableciera las ganancias y notó problemas contables.

2020 fue un año interesante para la empresa. A principios de marzo, reemplazó a su presidente y director financiero (CFO) después de que la confusión sobre una posible inversión de Berkshire Hathaway provocó que sus acciones cayeran un 32%. Esto resultó en que AM Best colocara la Calificación de Fortaleza Financiera y la Calificación Crediticia de Emisor a Largo Plazo de la compañía bajo revisión con implicaciones negativas. En las semanas siguientes, la reaseguradora nombró a su presidente entrante, Antonio Cassio dos Santos, como director general interino de la compañía. Luego, en abril, IRB Brasil Re anunció que ciertos miembros de su Directorio habían renunciado en medio de los impactos de la pandemia COVID-19, que continúa devastando el país. Días después, la empresa retiró su guía de ganancias para el año debido a la pandemia, antes de retrasar finalmente la publicación de sus resultados del primer trimestre de 2020. Todo esto resultó en la investigación de los reguladores del país y también en la degradación de sus calificaciones crediticias por parte de AM Best.

En junio, la reaseguradora retrasó aún más la publicación de sus resultados del primer trimestre en medio de informes de que debe aportar R$ 1.000 millones (USD 194 millones) para resolver una disputa judicial que surgió después de una caída en el precio de las acciones de IRB a principios de año. Al final, la Corte de Justicia de São Paulo falló a favor de IRB Brasil Re en la demanda ciudadana interpuesta contra la empresa. Un mes después, IRB Brasil Re logró recaudar USD 380 millones mediante la emisión de 300.083.857 acciones ordinarias. Este aumento de capital fue seguido por una pérdida de USD 125 millones en el segundo trimestre del año y luego un desempeño más estrecho, aunque todavía negativo, en el tercer trimestre del año. En diciembre de 2020, AM Best eliminó el estado de "bajo revisión con implicaciones negativas" de IRB Brasil Re luego de las mejoras en las prácticas de gestión de riesgos empresariales (ERM) y suscripción de la empresa.

El último giro de la saga se produjo el 18 de febrero de 2021, cuando la SUSEP informó a la reaseguradora que con base en los estados financieros del 31 de diciembre de 2021, “había alcanzado el marco regulatorio en cuanto a ratios de liquidez y cobertura de provisiones técnicas”. Durante el período de inspección, IRB Brasil Re dice que adoptó todas las medidas necesarias para resolver el problema lo antes posible. “El cierre de la Inspección Especial instalada por la SUSEP representa un hito fundamental en el proceso de recuperación de la Compañía, con más de 80 años de existencia, fruto del intenso trabajo de toda la Gerencia de IRB Brasil RE, junto con el apoyo de sus empleados, socios, clientes, accionistas y otros grupos de interés”, dice la reaseguradora.

Brazilian regulator to end special inspection of IRB Brasil Re

The Board of Directors of SUSEP, the Brazilian insurance regulator, has unanimously decided to end the special inspection of IRB Brasil Re it commenced in May of last year, the reinsurer has announced. Reports emerged towards the end of May 2020 that the Brazilian reinsurer was to be investigated by SUSEP over concerns it lacked sufficient reserves, after the company reinstated earnings and noted accounting issues.

2020 was an interesting year for the company. In early March, it replaced its President and Chief Financial Officer (CFO) after confusion about a possible investment by Berkshire Hathaway caused its shares to decline by 32%. This resulted in AM Best placing the Financial Strength Rating and the Long-Term Issuer Credit Rating of the company under review with negative implications. In the weeks that followed, the reinsurer appointed its incoming Chairman, Antonio Cassio dos Santos, as interim CEO of the company. Then, in April, IRB Brasil Re announced that certain members of its Board had resigned amid the impacts of the COVID-19 pandemic, which continues to ravage the country. Days later, the firm withdrew its profit guidance for the year owing to the pandemic, before eventually delaying the release of its Q1 2020 results. All of this resulted in both the investigation by regulators in the country and also the downgrading of its credit ratings by AM Best.

In June, the reinsurer further delayed the release of its Q1 results amid reports it must come up with R$ 1 billion (USD 194 million) to settle a court dispute that arose after a drop in IRB’s share price earlier in the year. In the end, the São Paulo Court of Justice ruled in favour of IRB Brasil Re in the public citizen suit filed against the company. A month later, IRB Brasil Re successfully raised USD 380 million via an issuance of 300,083,857 common shares. This capital raise was followed by a USD 125 million loss in the second-quarter of the year and then a narrower, albeit still negative performance in the third-quarter of the year. In December of 2020, AM Best removed IRB Brasil Re’s ‘under review with negative implications’ status following improvements in the company’s enterprise risk management (ERM) and underwriting practices.

The latest twist in the saga took place on February 18th, 2021, when SUSEP informed the reinsurer that based on the financial statements of December 31st, 2021, “it had reached the regulatory framework regarding the liquidity ratios and coverage of technical provisions.” Throughout the inspection period, IRB Brasil Re says that it adopted all necessary measures to solve the issue as soon as possible. “The closure of the Special Inspection installed by SUSEP represents a fundamental milestone in the recovery process of the Company, with more than 80 years of existence, as a result of the intense work of the entire IRB Brasil RE Management, together with the support of its employees, partners, customers, shareholders and other stakeholders,” says the reinsurer.
